Develozy operates as a focused design and engineering studio. Project specifications, architectural roadmaps, milestone timelines, and ongoing maintenance retainers are documented in written Master Services Agreements (MSAs) or project-specific Statements of Work (SOWs). Our operational philosophy prioritizes client outcomes over billing volume—if an existing software product solves your operational need more efficiently and affordably than custom development, we will expressly recommend it over commissioning redundant code.

We reject vendor lock-in. A non-negotiable tenet of our studio practice is absolute clarity regarding intellectual property transfer:

• Client Deliverables (Foreground IP): Upon full settlement of invoiced project fees, you assume total, unencumbered 100% legal ownership of all bespoke source code, UI/UX interface layouts, database structures, custom asset files, repository access, domain registrations, and cloud deployment configurations created for your organization from day one. • Studio Tooling (Background IP): Develozy retains authorship of pre-existing development frameworks, boilerplate architectures, internal utilities, and open-source libraries incorporated into the solution. We hereby grant your organization an irrevocable, perpetual, worldwide, royalty-free, transferable license to execute, scale, and modify this Background IP as integrated within your contracted deliverables.

• Milestone Invoicing: Project engineering builds and retainer packages (1 to 3-year term engagements bundling active dependency auditing, certificate renewals, and platform maintenance) are billed according to agreed milestone timelines or monthly subscription intervals. • Statutory Taxes: Invoiced sums are exclusive of applicable Goods and Services Tax (GST) and relevant statutory deductions, which shall be itemized strictly in accordance with Indian tax regulation. • Settlement Term: Invoices mature payable within fourteen (14) calendar days of electronic billing. In instances of prolonged payment delinquency, the Studio reserves customary commercial remedies, including temporary suspension of deployment sprints or technical support until fiscal reconciliation.

When providing corporate branding assets, copywriting, proprietary datasets, API authorizations, or third-party credentials to Develozy for product implementation, you represent and warrant that your organization possesses full legal title and requisite licensing to utilize such materials. You agree to indemnify and hold harmless Develozy and its engineers from any third-party copyright, intellectual property, or regulatory infringement disputes stemming directly from client-supplied assets.

Modern digital ecosystems depend heavily on third-party API networks, Cloud hosting platforms (such as AWS, Vercel, Resend), operating system registries (Apple App Store, Google Play), and artificial intelligence model fiduciaries. While our retainer upkeep packages actively remediate framework dependency drift and security updates, Develozy disclaims financial and operational liability for unilateral upstream disruptions, policy alterations, pricing modifications, or server outages originated by autonomous third-party providers.

To the maximum degree enforceable under relevant jurisprudence, neither party shall bear liability to the other for indirect, exemplary, punitive, incidental, or consequential damages, including loss of profits, commercial business interruption, or unrecoverable data corruption. In any contractual or tortious dispute, Develozy's aggregate cumulative liability arising from or connected to any rendered service shall be strictly bounded by and capped at the actual compensation received by the Studio from the client for the specific project unit during the preceding twelve (12) months.

Neither Develozy nor the client shall be held accountable for project delays, deployment impediments, or contract non-performance precipitated by occurrences outside reasonable operational control, including natural catastrophes, systemic internet telecommunication grid breakdowns, state-sanctioned civil directives, pandemic emergency regulations, or unavoidable international supply chain disruptions.

This Agreement, along with all commercial technical interactions conducted by Develozy, shall be governed by, interpreted, and enforced strictly under the laws of the Republic of India. Both parties agree that any mediation, statutory lawsuit, or civil legal proceeding arising out of these Terms of Service or contracted software deliverables shall be initiated exclusively before the judicial courts of competent jurisdiction located in Indore, Madhya Pradesh, India.

As software technologies, legal statutes, and digital landscapes advance, Develozy reserves the authority to update or refine these standard terms.
